These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client") and Martinez Financial Group Strategies LLC, doing business as MFG Strategies ("Company," "we," "us," or "our"), concerning your access to and use of the mfgstrategies.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By accessing the Site, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1. INTRODUCTION

These Terms govern your access to and use of mfgstrategies.com and, where applicable, your use of our services.

2. SERVICE DESCRIPTION

MFG Strategies provides strategic financial consulting, fractional CFO leadership, bookkeeping, and tax strategy services. Our services include, but are not limited to:

  • Strategic financial consulting and custom financial systems.
  • Fractional CFO leadership and strategic financial planning.
  • Back-end financial operations setup and bookkeeping.
  • Tax strategy, tax optimization strategies, and business structuring.
  • Strategic engagements for acquisition support and business scaling.

Our services are designed to provide "Wealth with Wisdom," focusing on mindset transformation and customized financial architecture rather than "cookie-cutter" theoretical planning.

3. REGULATORY COMPLIANCE & DISCLAIMERS

3.1 Not a CPA Firm. Martinez Financial Group Strategies LLC (MFG Strategies) is a financial advisory and strategic consulting firm and is not a licensed CPA firm. Our services do not include formal audits, reviews, compilations, or other attestations, and nothing on the Site should be interpreted as an offer to provide such services.

3.2 HR & Employment. MFG may provide guidance related to organizational structure, personnel budgeting, and operational planning; however, MFG does not make employment decisions. The Client remains the sole employer and retains sole and absolute discretion over all employment-related decisions, including but not limited to hiring, firing, discipline, compensation, and classification, and assumes all HR-related liability.

3.3 Financial Outcomes. MFG provides systems, tools, and strategic guidance; however, the Client is solely responsible for financial outcomes and all business decisions and implementation. No specific revenue, profit, tax, or performance results are guaranteed.

3. HR AND OPERATIONAL LIABILITY SHIELD

3.1 HR Advisory Limitation. As part of our strategic consulting, MFG Strategies may provide guidance regarding payroll integration, organizational structure, or personnel budgeting. However, MFG Strategies is NOT an employer of record, a legal counsel, or a human resources firm.

  • Final Authority: The Client retains sole and absolute discretion over all employment-related decisions, including but not limited to hiring, firing, disciplinary actions, and compensation settings.
  • Indemnification: Client agrees to indemnify and hold MFG Strategies harmless from any claims, lawsuits, or liabilities arising from the Client’s employment practices or labor law violations.

4. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and its entire contents (including proprietary frameworks, "Wealth with Wisdom" methodologies, mindset transformation systems, software, designs, audio, video, text, and graphics) are the proprietary property of Martinez Financial Group Strategies LLC. You are granted a limited license to access the Site for personal or internal business purposes. You may not reproduce, distribute, or create derivative works of our strategic systems without express written consent.

5. USER REPRESENTATIONS

By using the Site, you represent and warrant that:

  1. All information you submit will be true, accurate, current, and complete.
  2. You have the legal capacity and you agree to comply with these Terms.
  3. You are not a minor in the jurisdiction in which you reside.
  4. You will not use the Site for any illegal or unauthorized purpose.

6. FEES AND PAYMENT

For clients engaging in Fractional CFO or Strategic Advisory services, fees are governed by the specific Service Agreement executed between the parties.

  • Onboarding Fees: Any initial setup or onboarding fees (including any "Strategy Diagnostic" fees) are considered earned upon receipt due to the immediate allocation of strategic resources.
  • Subscriptions: Subscription services (if applicable) are billed monthly in accordance with the applicable order form, invoice, or service agreement.
  • Late Payments: We reserve the right to suspend access to financial dashboards or consulting sessions if accounts are more than thirty (30) days past due.

7. LIMITATION OF LIABILITY

IN NO EVENT WILL MARTINEZ FINANCIAL GROUP STRATEGIES LLC OR OUR DIRECTORS (INCLUDING JOSE MARTINEZ), EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR OUR STRATEGIC ADVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of our strategic financial tools; (2) breach of these Terms; (3) your violation of the rights of a third party, including but not limited to intellectual property rights; or (4) any overt harmful act toward any other user of the Site.

9. GOVERNING LAW

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the courts located in Dallas County or the surrounding North Texas jurisdictions.

10. TERMINATION

Unless a different cancellation or notice period is stated in a separate Service Agreement, you may cancel recurring services by providing at least thirty (30) days’ written notice. All amounts due through the effective date of termination remain payable, and any fees designated as earned upon receipt are non-refundable to the fullest extent permitted by law.

11. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or the services.
